Elle est encadrée par un engagement préalable du titulaire de brevet dans lequel il exprime sa volonté d’offrir des licences dans des conditions justes, raisonnables et non discriminatoires. Malgré cet engagement, il arrive que ces négociations échouent. Le cas échéant, elles dégénèrent fréquemment en procès. Clarifier dans quelle mesure le titulaire de brevet peut refuser l’octroi d’une licence FRAND est alors nécessaire. Le droit de la concurrence et le droit des obligations apportent chacun des réponses partielles à la problématique, mais l’articulation entre ces régimes demeure complexe, en raison de leurs approches analytiques et des remèdes qu’ils proposent, souvent divergents. Cette étude s’est donc attachée à éclaircir leur articulation. Après avoir confirmé l’applicabilité des deux régimes et mis en évidence leur complémentarité, cette thèse plaide pour une approche hybride des licences FRAND, permettant un encadrement cohérent et équilibré. The negotiation of FRAND licensing agreements suffers from significant legal uncertainty. These negotiations are framed by a prior commitment from the patent holder to offer licenses on fair, reasonable, and non-discriminatory terms. Nevertheless, negotiations often fail, leading to litigation. It is therefore essential to clarify the extent to which a patent holder may refuse to grant a FRAND license. Competition law and the law of obligations each provide partial insights into this issue, but the interplay between these legal frameworks remains complex due to their differing analytical approaches and remedies. This study seeks to elucidate this relationship. After establishing the applicability of both legal frameworks and highlighting their complementarity, this thesis advocates for a hybrid approach to FRAND licensing, offering a coherent and balanced regulatory framework.
